Tip-Toeing Around Environmental Issues In Your Take-Over

In the course of a due diligence process, investors are often faced with major environmental issues affecting the target company. Such risks can generally be very diverse and may have a significant impact on the business of the company. Risk allocation and remediation are therefore of the essence, not only for investors but also for the vendors or the management of the target company.

Lydian organizes on 7 May 2013 a lunch seminar devoted to environmental issues as detected during due diligence, focusing on the related risks, consequences and possible remedies. The following topics shall be treated:

At what moment of a transaction may environmental issues surface?
What are the classic remedies possible in an M&A transaction?
Has the target company sufficient economic perspective in light of the problems detected?
What if the target company has never complied with its environmental permit obligations?
What are possible liabilities for the directors and the management of the company?
Who pays for pollution?
What happens in case of hidden environmental liabilities?
We also have to honor to be assisted by an environmental expert from Arcadis Belgium who shall give a short exposé on the scope, risks and timing of an on-site environmental audit.
The Lydian M&A and Environmental experts would like to invite you to this lunch seminar which shall be given in French and English.
