Biography

Simon is a Partner in the firm and Head of our Corporate and Commercial Team. He is a trusted adviser to public companies, start-up businesses, non-UK companies and venture capital investors. Simon specialises in mergers, acquisitions and disposals, joint ventures, mbis/mbos, venture capital and shareholding structures.

He spent part of his career working in New York, Paris and the Middle East. Simon has particular experience in international and cross border deals and advises inward investors on doing business in the UK.

  • Schlumberger Oilfield UK PLC Share purchase of Rock Deformation Research Limited including US Subsidiary.
  • Diana Naturals SAS, Share purchase by global food industry leader of banana products business in Confoco SA, with assets in Ecuador & USA.
  • Stovax Group Sale of the Stovax heating business (£36M turnover and 260 employees) to Stockholm-listed Nibe Industrier AB (c.£800M turnover).
  • EGP£65M Five Star Flour Mills Co part share purchase from AWB Limited.
  • $22M acquisition of smartcard business, IP portfolio, trademarks of Keycorp including shares in Multos Limited for Gemalto NV.
  • £7M Petrofac Limited Share purchase of Scotvalve Services with businesses in Scotland, Egypt, Algeria and Sudan;
  • Schlumberger, Auction share sale to IBM of disaster recovery business serving Governments, Banks, major Corporations form 40 sites globally including France, Portugal, Spain, Switzerland, UK and the USA.

Capital raisings and Investments

  • £1.8M Highgate Golf Club “London’s hidden gem” www.highgategc.co.uk Bond issue
  • Pittards plc AIM share placing (and associated circular), in connection with its acquisition of the entire issued share capital of Ethiopia Tannery Share Company.;
  • GMO Limited Admission to AIM by way of Placing of GMO Limited Market capitalisation of £20M at the Placing Price.

Joint Ventures

  • US$150M Joint Venture between Centrax and Arab Shipbuilding & Repair Yard Company for worldwide provision of Power Barges.
  • £20m Sprue Aegis plc distribution of safety products under the “BRK”® and “First Alert”® brands in Europe, and transfer of BRK’s European assets.

Group Reorganisations

  • £7.3M Intragroup transfer of business of Systech Systems to Parkeon Transit part of the Parkeon Group (headquartered in Paris).

MBIS / MBOS

  • £7M Haydon Mechanical & Electrical Limited Management buy out of Haydon from Mears Group Plc.
  • Actaris UK Limited - MBI sale of Metflex Precision Mouldings.

The firm had its origins in the mid-1700s founded by the Sparkes family who were Quakers carrying on business as lawyers, bankers and property developers. They ran the Exeter General Bank (founded 1792) which issued £1 bank notes depicting William Penn, another Quaker, signing a treaty with Native Americans.
